Seller Agreement

1. Introduction

This Seller Agreement ("Agreement") governs your use of HSC as a seller. By listing an item, service, property, vehicle, or job on HSC, you agree to be bound by this Agreement in addition to our Terms and Conditions.

References to "HSC", "we", "us" mean HSC Market Ltd. References to "you" or "seller" mean any user who creates a listing on the platform.

2. Eligibility to Sell

To sell on HSC you must:

• Be at least 18 years of age
• Have a verified HSC account
• Have a valid Stripe Connect account (required to receive payouts)
• Be legally permitted to sell the items or services you list
• Comply with all applicable UK laws, including the Consumer Rights Act 2015 and Consumer Contracts Regulations 2013

3. Commission and Fees

HSC charges the following commission on completed sales:

Commission is deducted automatically from the sale amount before the remainder is credited to your HSC Wallet. HSC reserves the right to update commission rates with 30 days' notice.

4. Early Seller Programme

Sellers who joined HSC during the early access period (the first 12 months of platform operation) benefit from 0% commission on all commissionable verticals until they reach £1,000 in cumulative sales or 12 months from their first sale, whichever comes first. After this period, standard commission rates apply.

5. Payouts

Funds from completed sales are held in your HSC Wallet. A 3-business-day hold applies from the date of confirmed delivery or buyer acceptance before funds become available for withdrawal.

Withdrawals are processed via Stripe Connect to your verified bank account. The minimum withdrawal amount is £10.00. HSC does not charge a withdrawal fee, though Stripe may apply standard transfer fees in certain jurisdictions.

HSC reserves the right to withhold or delay payouts if there is an active dispute, suspected fraud, or a chargeback in progress on any associated transaction.

6. Stripe Connect

Payouts are processed through Stripe Connect. By becoming a seller on HSC, you agree to Stripe's Connected Account Agreement. You are responsible for providing accurate bank account details and completing any identity verification required by Stripe.

7. Seller Obligations

• List items accurately. Descriptions, images, and prices must truthfully represent what is being sold.
• Fulfil orders promptly. Once a buyer completes payment, you must dispatch or deliver within the timeframe stated in your listing or within a reasonable time.
• Respond to messages. Failure to respond to buyer enquiries within a reasonable timeframe may result in listing suspension.
• Declare known defects. You must disclose all known material defects, outstanding finance (for vehicles), or legal encumbrances (for property) in your listing.
• Comply with UK consumer law. Sales to UK consumers are subject to the Consumer Rights Act 2015. Goods must be as described, of satisfactory quality, and fit for purpose.
• Not circumvent HSC. You must not encourage buyers to transact outside HSC in order to avoid commission.

8. Vertical-Specific Rules

Motors: Sellers must declare outstanding finance, any write-off category (Cat A–D), and all known mechanical issues. Attempting to conceal material defects may result in account termination and referral to Trading Standards.

Property: HSC is an advertising platform for property, not an estate agent. Sellers must not collect deposits, advance fees, or any money through HSC for property transactions. All money handling must take place through appropriately regulated third parties.

Digital goods: Sellers warrant that digital products are their original work or that they hold the rights to distribute them. Uploading licensed or copyrighted material without authorisation will result in immediate removal and account suspension.

Jobs: Job listings must represent genuine employment or contract opportunities. Fake listings, recruitment scams, or listings designed to collect personal data without intent to hire are strictly prohibited.

10. Account Suspension and Termination

HSC reserves the right to suspend or terminate your seller account, remove listings, and withhold pending payouts (up to the amount of outstanding claims or fees) if you:

• Breach this Agreement or our Terms and Conditions
• Receive an unusually high number of buyer disputes or complaints
• Are found to have engaged in fraudulent activity
• Receive a chargeback rate that exceeds Stripe's acceptable limits
